A director who resigns should send a written resignation. The company files that resignation. Removal against the director’s will is different: shareholders must follow the statutory notice and the director’s right to be heard. We do not file a removal as if it were a resignation.
Who this is for
- Directors who have resigned and still appear on MCA
- Companies completing a clean exit of a founder
Documents usually needed
- Resignation letter or the shareholder decision
- DSC of the filing director
- Date of cessation
How Digital Filings handles it
- Confirm resignation versus removal.
- File the cessation.
- Check that MCA master data drops the director.
Timeline
Resignation filings are typically a few days. A contested removal follows the notice period in the Act.
Questions people ask
The director will not sign. What now?
If there is a real resignation already given, we file that letter. If not, removal has to go through shareholders. We will not invent a letter.
